Mr. Drucker is a member of Davis Polk’s Corporate Department. He regularly represents clients in a wide variety of securities offerings, including simultaneous offerings in multiple markets. He was resident partner in the Tokyo office from 1989 to 1993, and in the Hong Kong office from 1993 to 1998. During Mr. Drucker’s nine years in Asia, he worked extensively on securities offerings, including privatization transactions, by Asian issuers in Japan, Korea, China, Taiwan, Hong Kong, Singapore, Indonesia, Malaysia, Thailand, India and the Philippines. He also worked on cross-border mergers and acquisitions, private equity investments and joint ventures. Since Mr. Drucker’s return to our New York office in 1998, his practice has focused on initial public offerings, convertible debt offerings, structured finance transactions, capital transactions for banks and insurance companies, and other types of securities transactions. He also advises corporate clients and their boards of directors with respect to corporate governance matters, including compliance with the Sarbanes-Oxley Act.
