Robert Pedersen focuses his practice on corporate finance and securities and business transactions. He concentrates on corporate trust matters and heads the firm's corporate trust practice. Mr. Pedersen represents and advises financial institutions as indenture trustees and agents in connection with corporate and municipal, taxable and tax-exempt, secured, unsecured, subordinated and convertible public and private debt issued under trust indentures of domestic and international issuers; auction rate securities; project financings; utility mortgage indentures; and defaulted debt issuances, debt restructurings, bankruptcies and litigation. He advises lawyers within the firm on debt financings, including Rule 144A/Reg. S offerings and exchange offers, issuances of global securities through the DTC, Euroclear and Clearstream, Luxembourg book-entry clearing systems. He advises clients and the Bryan Cave Financial Crisis Response Team on auction rate securities and TARP. Mr. Pedersen is a frequent lecturer and provider of workshops to corporate trust departments on indenture and Trust Indenture Act issues and adviser on corporate trust regulatory, compliance and policy matters, corporate trust documentation, default duties and litigation affecting indenture trustees. He is consulted by issuers’ and underwriters’ counsel on indenture and Trust Indenture Act issues. He and his corporate trust clients partner with the capital markets community on structuring new financial products. Prior to his concentration in the corporate trust area, Mr. Pedersen represented companies in a wide variety of corporate, corporate finance, securities laws and other general business matters. Mr. Pedersen has also represented an electric and gas utility extensively in financial transactions, securities issuances, disaggregation and corporate matters, and utilities in the development of power plant construction contracts (for which he prepared model contract provisions).
