Kevin J. Conway has been a member of the Company's Board and a member of the Board of Directors of the Company's subsidiary Graphic Packaging International, Inc. since 1995. Mr. Conway is a principal of CD&R, a New York-based private investment firm, a director of CD&R Investment Associates II, Inc. ("Associates II"), a Cayman Islands exempted company that is the managing general partner of CD&R Associates V Limited Partnership, a Cayman Islands exempted limited partnership ("Associates V"), the general partner of CD&R, and a limited partner of Associates V.
