Denys Gounot has been a member of our board of directors since November 10, 2003. Since October 21, 2005, Mr. Gounot has served as Chairman of Essex Europe SAS, the holding company for the Company's European magnet wire operations. He has been a principal of DG Network, a strategic advisory firm, since 2003. DG Network provides services to the Company as described under Certain Relationships and Related Transactions on pages 56-57. From 1999 through 2001, Mr. Gounot held various positions as an officer with Lucent Technologies Inc., a provider of communications networks for communications service providers, including President of Lucent's optical fiber division.
