Robert S. Cline has been one of our directors since 1992 and will be appointed Non-Executive Lead Director at the annual meeting. Mr. Cline was Chairman of the Board of Directors and Chief Executive Officer of Airborne, Inc., an air freight carrier, from 1984 until his retirement in May 2002. He is also a director of Esterline Technologies Corp., an aerospace technology company.
