Douglas E. Scott is executive vice president, general counsel and secretary for SAIC and has been with the company since 1987. He has served as general counsel since 1992 and corporate secretary since 2003. In his role as general counsel, Scott manages the company's Legal Department, which provides wide-ranging legal support to the company and its business operations, including corporate, employment, government and commercial contracts, intellectual property, international, legal compliance, litigation, mergers and acquisitions and securities law matters. Scott specializes in corporate and securities law and regularly advises the company on those matters. Scott also is responsible for the administrative management of the company's Internal Audit Department. In addition, the company's chief ethics officer, who is responsible for the company's ethics and compliance training, the Employee Ethics Committee and various ethics reporting channels, also reports to Scott. As secretary of the Board of Directors, Scott is legal advisor to the Board and its Committees. He works closely with the chairman of the board, lead director and the committee chairs in planning, scheduling and establishing the agendas for Board and committee meetings. Prior to joining SAIC, Scott was an attorney with O'Melveny & Myers, one of the leading law firms in the country, and specialized in corporate, transactional and securities law matters. He received his bachelor's in economics (magna cum laude) and master of business degrees from the University of Illinois at Urbana-Champaign and his law degree from the University of California at Los Angeles. Scott was also a Certified Public Accountant.
