Cary Ferchill is Partner at Reed & Scardino LLP. Mr. Ferchill has over 25 years of experience as a lawyer, business executive, corporate finance professional and consultant. Mr. Ferchill has extensive experience in critical corporate transactions. Mr. Ferchill consults with corporations and other entities regarding their corporate governance planning and processes and the observance of fiduciary duties of directors and managers. He has been engaged in acquisitions and dispositions of numerous businesses. Mr. Ferchill has also provided strategic planning, cash flow assessments, valuations, legal compliance, structuring, negotiation and documentation of acquisition agreements, financial analysis, due diligence services and acquisition financing services for senior secured debt, subordinated debt, equity and seller paper. Mr. Ferchill has served all participants in financial and securities transactions and in the securities registration and sale process, including issuers, investors, underwriters, advisors and trustees. He has also completed private and public equity offerings, bond offerings and commercial loans. Mr. Ferchill has deep experience in intellectual property rights management. He has represented companies and individuals in the establishment and exploitation of patents, copyrights and other intellectual property and in the assignment and licensing of rights to operating businesses. In addition, Mr. Ferchill has designed and supervised the regime for licensing hundreds of copyrights and patents to both distributors and end-users. Prior to joining Reed & Scardino, Mr. Ferchill was a partner in two national law firms, served as President/CEO of a digital satellite telecommunications company, and owned and operated a boutique corporate finance and legal services firm. Mr. Ferchill received his J.D. from University of Texas, School of Law and his B.A. from the University of Texas. He also attended the London School of Economics
